Cognitor is a brand of Scientia Global Industries Inc., a New Jersey corporation. In these terms, “we” and “us” mean Scientia Global Industries Inc., and “you” means the founder or company using this site or our services.

By using this site or our services, you agree to these terms.

We provide information and preparation services. We read your materials, show you which types of investors may fit, and help you prepare for the conversations ahead.

Nothing we provide is investment, legal or tax advice. Talk to your own advisers before you make those decisions.

We are not a broker-dealer. We do not raise capital, and we do not offer, sell or negotiate securities.

We do not guarantee any introduction, meeting or funding. Whether an investor engages, and on what terms, is up to that investor and to you.

You are responsible for your own materials and communications. That includes making sure your deck and other materials are accurate, that you have the right to share them with us, and that your raise and your outreach follow the laws that apply to you, including choosing and complying with any securities exemption (for example Regulation D Rule 506(b) or 506(c)) with your own counsel.

We do not send your deck or contact investors. You send all outreach yourself.

We keep your materials confidential and use them only to provide our services to you. We do not send your deck or contact investors. You decide who receives your materials and you send them.

You agree to keep confidential the research and reports we give you, and not to pass them on to others without our permission.

You keep all rights in your materials. You allow us to use them only to provide our services to you.

We keep all rights in this site, the Cognitor name, and our research, methods and reports. You may use the reports we give you for your own raise.

We provide this site and our services as they are, without warranties of any kind, to the extent the law allows. We work carefully, but we cannot promise that any information is complete or error free, or that any outcome will follow.

To the extent the law allows, we are not liable for indirect, incidental or consequential losses, or for lost profits or lost funding.

To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the twelve months before the claim.

We offer The Glimpse (free), The Engagement (one flat fee) and The Campaign (a flat monthly fee, after The Engagement). All fees are flat. We charge no success fee or any fee tied to capital raised or to any transaction.

If you engage us for The Engagement or The Campaign, a separate written agreement will apply. If it conflicts with these terms, that agreement controls. For founding clients, that agreement also sets out the reduced rate given in exchange for an honest testimonial and case study.

These terms are governed by the laws of the State of New Jersey. Any dispute will be heard in the state or federal courts located in New Jersey.

We may update these terms. If we do, we will post the new version here with a new date. Using the site after that means you accept the update.
